This End-User License Agreement ("Agreement") is between you and FlexTable ("FlexTable", "we") and governs your use of the FlexTable desktop application ("Software"). Your use of the FlexTable website and purchases is governed separately by the Terms and Conditions.
By installing or using the Software - and, when purchasing, by clicking "I agree" at checkout - you accept this Agreement. If you do not agree, do not install or use the Software.
Subject to this Agreement, we grant you a non-exclusive, non-transferable, perpetual license to install and use the Software. This applies to both the free edition and the PRO edition; PRO features require a valid PRO license.
FlexTable follows a perpetual-with-update-window model:
You may not: reverse engineer, decompile, or disassemble the Software; create derivative works; redistribute, sell, rent, lease, or sublicense it; circumvent or tamper with license verification; or remove proprietary notices.
The Software is licensed, not sold. All right, title, and interest in the Software remain with FlexTable and its suppliers. All rights not expressly granted are reserved.
The Software includes third-party and open-source components licensed under their own terms; those licenses are listed in the application's About screen (under "Licenses") and prevail for those components.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FlexTable IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR FOR DATA LOSS, ARISING FROM USE OF THE SOFTWARE. Our total liability for any claim is limited to the amount you paid for the Software in the 12 months before the claim.
This Agreement terminates automatically if you breach it. On termination you must stop using and delete all copies of the Software. Sections 5-8 survive termination.
This Agreement is governed by the laws of Vietnam, without regard to conflict-of-laws rules. Any dispute will be subject to the exclusive jurisdiction of the competent courts of Vietnam.
